NCDFCOOP is designed to support credible engagement among cooperative societies, SMEs, buyers, partners, service providers and relevant NCDF Group entities.

The solution applies governance, eligibility, data-protection, payment, commercial-conduct and participant-protection safeguards to reduce misrepresentation, unauthorised activity and avoidable risk.

All participants should read and understand these safeguards before submitting information or entering any solution pathway.

The Role of NCDFCOOP

NCDFCOOP is an enterprise-development, market-access, technical-assistance and readiness solution.

NCDFCOOP is not:

  • A bank or deposit-taking institution;
  • A lender or automatic credit provider;
  • An investment fund;
  • A securities offer or subscription platform;
  • A grant-award solution;
  • An insurance provider or HMO;
  • A property or housing-allocation platform;
  • A guarantee of contracts, finance or commercial returns.

A solution introduction, profile review or readiness classification does not constitute approval for any separate product, transaction or regulated service.

solution Onboarding Is Not Statutory Registration

Submitting a Cooperative Profile or SME Profile creates an NCDFCOOP solution record. It does not constitute legal incorporation, business-name registration, cooperative registration, regulatory licensing or statutory approval.

Participants remain responsible for maintaining valid registration, annual filings, licences, permits, tax records and regulatory approvals applicable to their activities.

NCDFCOOP may verify information with relevant registration or regulatory authorities where legally permitted and reasonably necessary.

Authorised Participation

Applications and engagements must be submitted by appropriately authorised persons.

For cooperative societies, this may include a duly authorised chairperson, secretary, executive officer or representative supported by an appropriate resolution.

For SMEs and partner organisations, this may include a proprietor, director, company secretary, senior officer or formally appointed representative.

NCDFCOOP may request evidence of authority before progressing an application or engagement.

Eligibility and Due Diligence

Participation is subject to review and may depend on:

  • Legal and registration status;
  • Accuracy and completeness of information;
  • Governance and authorised representation;
  • Sector and pathway relevance;
  • Operating and commercial capacity;
  • Financial and technical readiness;
  • Product or service documentation;
  • Buyer or partner requirements;
  • Legal and regulatory considerations;
  • Solution capacity and availability of opportunities.

NCDFCOOP may request additional information, decline an application, suspend participation or terminate an engagement where material concerns arise.

Finance and Investment Safeguards

Participation in NCDFCOOP does not constitute an offer, invitation or approval to invest in any fund, company, security or financial product.

NCDFCOOP public forms must not be used to:

  • Accept investment subscriptions;
  • Collect deposits or advance investment commitments;
  • Open investment accounts;
  • Pre-fund a proposed transaction;
  • Promise guaranteed allocations;
  • Promise fixed or guaranteed returns;
  • Conduct informal public fundraising.

Any legitimate finance, investment or capital-market transaction must be undertaken separately through the relevant authorised entity, formal transaction documents, applicable risk disclosures and required regulatory processes.

Market and Commercial Safeguards

NCDFCOOP may facilitate introductions and structured market engagement, but it does not guarantee:

  • Buyer or supplier selection;
  • Purchase orders or contracts;
  • Product availability or quality;
  • Commodity or product prices;
  • Payment by a counterparty;
  • Delivery or logistics performance;
  • Export, customs or regulatory approval;
  • Profit margins or commercial success.

Buyers and suppliers remain responsible for due diligence, quality inspection, pricing, payment terms, delivery requirements, legal documentation and contract performance.

Fees and Payments

NCDFCOOP services may be:

  • Free at the point of solution onboarding;
  • Sponsored or subsidised;
  • Delivered under a paid advisory engagement;
  • Charged by a separate service provider;
  • Subject to a documented transaction or platform fee.

Any applicable fee must be disclosed before the relevant service begins.

Participants must not:

  • Pay cash to staff, agents or intermediaries without formal authorisation;
  • Transfer money to personal accounts;
  • Make payments based only on verbal promises;
  • Pay for guaranteed funding, contracts or solution approval;
  • Rely on unofficial invoices or payment instructions.

All legitimate payments must be supported by formal documentation and made only through an officially confirmed channel.

Data Protection and Information Sharing

NCDFCOOP will collect information necessary for solution onboarding, readiness assessment, market matching, partnership review, reporting and appropriate participant support.

Information should be:

  • Collected for specified purposes;
  • Limited to what is reasonably necessary;
  • Protected through appropriate controls;
  • Retained only as required;
  • Shared only for explained and lawful purposes;
  • Corrected where inaccurate;
  • Managed in accordance with the applicable privacy notice.

A participant’s information should not be shared with a buyer, capital provider, partner or service provider beyond the permitted purpose without an appropriate legal basis or authorisation.

Participants should not submit BVNs, bank passwords, payment credentials, full member registers, medical records or other highly sensitive information through general public forms.

Related-Party and Conflict Disclosure

Some NCDFCOOP services may be delivered by NCDF Group companies, sponsored ventures or approved partners.

Where applicable, participants should be informed of:

  • The legal entity providing the service;
  • The entity’s role and responsibility;
  • Whether the service is free, sponsored or paid;
  • Any material commercial relationship;
  • Any relevant conflict of interest;
  • The applicable terms and complaints route.

A referral to an NCDF-related entity does not remove the requirement for separate eligibility, documentation, pricing and approval.

Prohibited Conduct

NCDFCOOP does not permit:

  • False or misleading solution representations;
  • Unauthorised use of the NCDFCOOP or NCDF Group identity;
  • Guaranteed funding or contract claims;
  • Unauthorised collection of money;
  • Submission of falsified documents;
  • Undisclosed commissions or conflicts;
  • Bribery, coercion or improper influence;
  • Misuse of participant or member information;
  • Harassment, discrimination or exploitative conduct;
  • Circumvention of solution safeguards.

Report a Concern

Participants should report suspected:

  • Unauthorised payment requests;
  • False promises of funding or contracts;
  • Misuse of the NCDFCOOP identity;
  • Data misuse;
  • Undisclosed conflicts;
  • Fraudulent documents;
  • Buyer or supplier misconduct;
  • Safeguarding concerns;
  • Other solution-related misconduct.

Reports should include the name of the person or organisation involved, the relevant communication or payment evidence, dates and a clear description of the concern.

Before participating in any NCDFCOOP pathway, cooperative societies should ensure proper authorisation, accurate documentation, clear member communication and full understanding of solution safeguards.
